Referral Program Terms & Conditions
1. Introduction
HeartLab Limited (Heartlab, we, us, our) offers existing customers (you) the opportunity to participate in our referral program (Program). These Referral Program Terms & Conditions (Terms) set out the entire agreement between us and a Referring Customer in relation to the Program.
2. Eligibility
Referring Customers: To be eligible for the Program, you must:
be a current commercial customer of HeartLab with an active paid subscription for HeartLab services;
not be using HeartLab services on a trial basis; and
not be using HeartLab for special programs, including but not limited to, use as a design partner, general partner, channel partner, clinical research partner, or use under outreach programs.
follow the steps as outlined in section 3 (How the Program Works).
Referred Customers: For a referral to be eligible under the Program, the referral must be to an entity or individual (Referred Customer) who:
has never purchased a paid subscription for HeartLab services; and
has not been on a HeartLab trial for 60 days prior to the referral date.
Eligible Subscriptions: For a referral to be eligible under the Program, the referral must be for a paid HeartLab subscription (Eligible Subscription) that:
is listed in section 5 (Plan Tiers & Study Credits); and
is under contract, unconditional in all respects.
Eligible Locations: This program applies exclusively to the following locales (Eligible Locations):
Australia
We reserve the right to refuse sale to any Referred Customer for any reason, including but not limited to the regulatory status in the Referred Customer’s jurisdiction.
3. How the Program Works
A Referring Customer can make a referral to HeartLab at any time by contacting their Account Manager, or other designated company representative by written communication.
HeartLab will arrange for communication or discussion of the details of the referral, including Referred Customer contact information. HeartLab will confirm the potential eligibility of the Referred Customer to the Referring Customer. (Note: This eligibility may change as outlined in this Program).
HeartLab will record the referral in internal systems. If the Referred Customer becomes eligible for Referral Rewards as outlined in Section 4 (Referral Rewards), the Referral Rewards will be distributed as follows:
Referring Customers: Study Credits will be applied to the Referring Customer's next invoice, as practical. Study Credits may be applied to a subsequent invoice depending on billing timing, referral elibility confirmation, or other reasons, at HeartLab's sole discretion.
Referred Customers: Free studies will be applied to the first customer invoice.
4. Referral Rewards
If the Referred Customer purchases an Eligible Subscription for HeartLab services as a result of a referral from the Referring Customer:
Referring Customer Rewards: The Referring Customer will receive study credits which may be redeemed for studies performed on the HeartLab platform in lieu of the per study fee (Study Credits). The amount of Study Credits that the Referring Customer will be given depends on the plan for which a Referred Customer signs up and is set out in section 5 (Plan Tiers and Study Credits). Study Credits are redeemable as outlined in section 7 (Study Credits).
Referred Customers Rewards: The Referred Customer will receive one (1) month of free studies upon signing up for an Eligible Subscription (in addition to any free trial period), regardless of the plan they choose, provided that the Referred Customer has not previously used HeartLab services for free under a trial for a period of two (2) months or longer. Free studies will be applied to the first customer invoice. This reward is applicable only to per-study fees, and excludes base subscription fees, if applicable.
We reserve the right to withhold Study Credits until after the Referred Customer's initial paid invoice to HeartLab.
5. Plan Tiers and Study Credits
Referring Customers will receive the following Study Credits as defined in section 7 (Study Credits) based on the plan purchased by the Referred Customer.
Flexi Plan: 100 Study Credits
Business Plan:
Tier 1: 200 Study Credits
Tier 2: 400 Study Credits
Tier 3: 600 Study Credits
Enterprise Plan: 1000 Study Credits
6. Restrictions
We reserve the right in our sole and absolute discretion to disqualify any customer from the Program, including (without limitation) where you refer yourself or create multiple accounts to benefit from the Program, or engage in any other activity we determine to be inconsistent with the purpose of the Program. Fraudulent or dishonest activity, including false referrals or misuse of the Program, will result in the forfeiture of Study Credits and possible account suspension or termination. This Program and these Terms apply exclusively to Eligible Locations.
7. Study Credits
Study Credits:
can only be used to access HeartLab services and features;
have no cash or monetary value;
are non-transferable; and
may not be exchanged for cash or any other form of currency, or any benefit other than as explicitly outlined in these Terms.
Each Study Credit can be used to redeem a study on the HeartLab platform in lieu of the per study fee. Study Credits are redeemable for the following study types:
Echocardiogram
Vascular Ultrasound
8. Privacy
We will collect and use personal information in accordance with our Privacy Policy.
9. Changes to these Terms and the Program
We reserve the right to modify these Terms and the Program from time to time (including to discontinue the Program) by posting a new version of these Terms on our website (heartlab.com). The version of the terms and conditions that applies to a referral under the Program is the version available on our website at the time the referral was made.

11. Sole Authority
Participating in the Program indicates your acceptance of these Terms. HeartLab reserves the sole authority to make the final decision on all matters related to the program, including but not limited to eligibility and reward distribution.
